Minutes of the Pinnacle Mountain P.O.A Members
July 14, 2002

Call to Order:
A total of 31 property association members were represented at the meeting, including five people who had mailed in their proxies. Only twenty members are required for a quorum to conduct official business.

Secretary's Report:
The minutes for the general membership meeting on 7/14/01 were reviewed and approved. A question was asked by George Reed if we could have contractors help pay for the road maintenance. Riley said we would review that suggestion and get back with the members. The probability that contractors would include that fee in the cost of doing business with all future homebuilders is a major concern.

Treasurer's Report:
Expenses were $23,620.70 primarily for the re-graveling of our roads and normal maintenance, including $3,000 paid to the lower association. In addition there was a one-time fee of $1,300 for incorporation. The balance as of July 1, 2002 is $11,070.00. This amount will be moved to our emergency fund.

Road Commissioner's Report:
a) Placement of rocks as guard rails for dangerous portions of our road. Ten are currently installed as a trial.
b) Stop signs have been placed on Pinnacle Lane and Doubleview. One more will be installed where the tower road intersects Pinnacle Parkway.
c) 750 tons of gravel was placed on the roads during the last year. We are using a new gravel contractor - Jim
Korvinian. Any members needing gravel can order directly from him.
d) Rutherford County Road Engineer has been contacted regarding further road improvements and road safety standards. A meeting will be held in the near future.

Review of Task List:
Riley reviewed the board's task list for last year. The Incorporation of the association and approval of the by-laws were a 2002 major accomplishment. This year road expenditures were primarily maintenance. Next year, more efforts will be focused on road improvements (switchbacks, concrete strips, and the backside of mountain-lots 50-55).


New Business:

Election of Board Members -- all board members were reelected for next year.

Recognition -- Dan Price was recognized for his contributions as President during the first two years of our organization, which included developing the road maintenance and incorporating North Pinnacle and Doubleview into the original organization.

Architectural Committee:
The board wishes to establish an architectural Committee with its own leadership and processes. This Committee would meet with the board for final approval of any policy change. This committee would have two basic functions:
a) Approval of building plans, improvements and lot standards.
b) Make information available for new and existing homebuilders.
Ten association members have volunteered for this committee.



Gate Access:
There have been several thefts on our mountain. For our protection, the board has begun investigating the use of a security gate. Findings so far:
a) Elaborate systems would cost up to $15,000 with some annual costs.
b) James Robinson will allow the association to use the yellow gate. Improvements needed include keypads, sensors, mechanical maintenance, etc. Estimated cost would be $1,500.
The most difficult issue is how to manage access. Property owners would have to be responsible for their contractor's access. Procedures would also have to be set up for emergency vehicles, utility companies, etc. Also, a manual override would be needed if we had a power failure.
After much discussion we voted to use the existing yellow gate and to make access as simple as possible.

Budget:
Riley reviewed next year's budget and the zero based budget concept the board has adopted. Any money left over at the end of a previous year will be added to an emergency fund, and we will only budget on expected revenue for the new accounting year.
